Wusta Terms of Service

These terms are an agreement between you and Felicity Capital Limited Liability Company, a Wyoming limited liability company ("we", "us", "our"). We run Wusta ("the service"). Please read these terms. They include limits on what we are responsible for (sections 15 and 16) and how disputes with us are handled (section 19).
Draft. This page hasn't been reviewed by a lawyer yet and may change before Wusta opens to the public.
1. Agreeing to these terms
You accept these terms when you tick the box in the app that says you agree, or when you otherwise use the service. If you don't agree, don't use the service.
You must be 18 or older and able to make a binding contract.
The service is for business use. If you use it for a company, you confirm that you are allowed to accept these terms for that company, and "you" includes the company.
Our Privacy Policy, at https://wusta.app/privacy, explains how we handle personal information. Please read it too.
2. What the service is, and what it isn't
Wusta is a place where real estate investors post renovation work on properties they own or manage, contractors and other trade professionals offer to do that work, and the investor chooses who to hire. We provide the software that helps them find each other and keep track of the work.
Wusta is new. The iPhone app is not released yet, and we are testing it with a small group of people. Many features are still being built. What you can use at any time is what the app offers.
We are not a party to any job. The agreement for a job is between the investor and the person or business they hire. We don't sign it and we aren't bound by it.
We are not a contractor. We don't do, manage, supervise, inspect or approve any work. We don't supply materials, pull permits or visit properties.
We don't employ contractors. Contractors are independent businesses (see section 4).
We don't guarantee anything about other users. That includes their skill, honesty, licenses, insurance, availability, the quality or safety of their work, whether they finish a job, and whether they pay.
We don't guarantee work or income. We can't promise that any investor will post work, that any contractor will offer to do it, or that any contractor will be chosen.
We don't handle payments. Investors and contractors arrange payment between themselves. We don't hold, send or receive money for a job. If we add payments later, a payments provider will handle them under its own terms, and we will update these terms first.
The service is for use in the United States. Work and contractors are only available in the areas shown in the app.
3. Your account
Give us true, current information, and keep it up to date.
One person, one account. Don't share your sign-in or let anyone else use your account.
You pick a role, such as contractor or investor, when you sign up. If you need a different role, email us at hello@wusta.app.
Keep your password safe. You are responsible for what happens under your account, unless it happens because of our failure. Tell us straight away at hello@wusta.app if you think someone else has used it.
If you add people to your team, you are responsible for what they do on the service for your business. Only add people who have agreed to be added.
4. If you're a contractor
You are an independent business. You are not our employee, agent, partner or joint venturer, and nothing in these terms makes you one.
You set your own price for any work. You decide how the work is done, including your methods, hours, tools, materials, and who works on it. You can turn down any job, for any reason. You are free to work for anyone else, on or off the service, including our competitors. You supply your own tools, equipment, vehicles and crew, and you pay your own costs. You are responsible for your own taxes, and for any wages, benefits, payroll taxes and workers' compensation for people you employ.
You promise that you hold every license, registration, certification and permit the law requires for the work you offer, where the work is done, at the value of the job. This includes any lead-safe certification the law requires for work that disturbs paint in homes built before 1978.
You promise that you carry the insurance the law requires, and any insurance you have agreed with the investor.
You promise that everything you give us, including license and insurance documents, is genuine, current and yours or your business's. You will tell us promptly if a license or policy expires, or is suspended, cancelled or changed.
You promise to do the work safely, follow the law, and be responsible for the conduct of your crew and anyone you bring onto a property.
5. If you're an investor
You promise that for each property you post, you own it or have the owner's authority to order the work and give contractors access.
You promise that what you post about the work and the property is accurate, including any hazards you know about.
You promise to give contractors safe access as agreed, to pay them what you agree to pay, and to get any permits or approvals the law puts on the property owner.
You decide who to hire. Do your own checks before you do. For example, look up a contractor's license with the authority that issued it, and ask their insurer or agent to confirm their cover. Nothing we show you is a recommendation.
6. Other roles
The app may show other roles, such as inspectors. These roles are not open yet. Anyone who offers services through Wusta in another role is an independent business, and these terms apply to them as they apply to contractors. Before another role opens, we will add any terms that apply only to it.
7. Jobs and dates
Posting work, making offers and tracking jobs are not open yet. Before they open, we may add terms for them, and we will tell you.
The agreement for a job is between the investor and the contractor. It covers the price, the scope of the work, the dates, what happens if the work runs late or the job ends early, payment for work already done, materials on site, and access. We don't provide a standard job agreement. We strongly recommend that you put yours in writing. Some states require certain renovation agreements to be in writing. Getting that right is for the investor and the contractor.
If a job falls behind, what happens next is for the investor and the contractor to settle under their agreement. We don't remove contractors from jobs.
8. Documents
Contractors can send us a trade license and a certificate of insurance. While we test, sending them is optional.
We don't review documents yet. A document in the app has not been checked by anyone, and we won't describe it as checked, verified or reviewed. Before we start any review, we will update these terms to say exactly what the review checks and what it doesn't.
A certificate of insurance is information only. It doesn't give the investor, or us, any rights under the policy. Investors who want to be covered should arrange that with the contractor.
We may refuse or remove a document, or ask you to replace it, if it looks unreadable, out of date or not genuine.
9. Fees
The app is free to download, and using the service is free at the moment. Before we charge you any fee, we will tell you what it is, and you will need to agree to it.
10. Rules for everyone
Don't give false or misleading information, or pretend to be someone else.
Don't post work you don't have authority to order, or offer to do work you aren't licensed, insured or able to do.
Don't upload a document that isn't yours or isn't genuine.
Don't harass, threaten or discriminate against anyone, including on the basis of race, color, religion, sex, national origin, disability, familial status, age, or any other characteristic protected by law.
Don't use someone's contact details or property information for anything other than the job you are discussing.
Don't send spam, or add people to a team without their agreement.
Don't break the law, or help someone else break it.
Don't copy, scrape or resell the service or its data, or use bots to access it.
Don't try to get into accounts or parts of the service you are not allowed into, test its security without our written permission, or interfere with how it runs.
11. Text messages
We don't send text messages yet. When we switch them on, we will send one-time codes that confirm your phone number is yours, and messages about your account's security. By giving us your mobile number and asking for a code, you agree to receive these texts from us at that number. We don't send marketing texts unless you separately agree to them.
You get a code only when you ask for one or take a step that needs one. Message and data rates may apply. Reply STOP to stop. Reply HELP for help, or email hello@wusta.app. Carriers are not liable for delayed or undelivered messages. Our Privacy Policy explains how we handle your number. We don't share it with anyone for their own marketing.
12. What you post
You own what you upload, such as photos, documents, descriptions of work and messages.
You give us permission to use it to run the service. That means storing it, copying it, showing it to the users it is meant for, and adapting it, for example resizing a photo. This permission is non-exclusive and free of charge, and it lasts as long as we need it to run the service and meet our legal duties.
You promise that you have the right to upload it, and that it doesn't break the law or anyone else's rights.
We may remove anything that breaks these terms.
13. Our service
We own the service, including the app, its design, its software and our brand. These terms give you a personal, limited, non-transferable right to use it for its intended purpose while you have an account. They don't give you any other rights.
Don't copy, change, reverse engineer or resell the app, except where the law allows it.
If you send us ideas or feedback, we may use them without owing you anything.
We may change, add or remove features. The service may sometimes be unavailable, for example for maintenance. Because the service is being tested, it may have errors, and features may change or be removed without notice.
14. Pausing and closing accounts
You can close your account at any time by emailing hello@wusta.app from the email address on your account. We will close it and delete your information as our Privacy Policy describes.
We may pause or close your account if you break these terms, if we reasonably suspect fraud or a safety risk, or if the law requires it. Where it is safe and lawful, we will tell you why and give you a chance to respond.
If you think we got it wrong, email hello@wusta.app and ask us to look again. A person will review it and reply.
If an account is closed, sections 2, 4, 5, 12, 13 and 15 to 23 continue to apply.
15. No guarantees
We provide the service "as is" and "as available". To the fullest extent the law allows, we make no promises or warranties about it, whether express or implied. That includes any promise that it will be uninterrupted or error-free, or fit for a particular purpose. We make no promises about any user, job, property or piece of work. Some states don't allow some of these exclusions, so some of them may not apply to you.
16. Limits on our responsibility
To the fullest extent the law allows, we are not responsible for anything that happens at a property or in the course of a job. That includes property damage, injury, defective, late or unfinished work, and non-payment. Those are matters between the investor and the contractor, and their insurers.
To the fullest extent the law allows, we are not responsible for indirect or consequential losses, such as lost profits, lost deals, extra holding costs or lost data.
To the fullest extent the law allows, our total responsibility to you for all claims relating to the service is limited to the greater of the fees you paid us in the 12 months before the claim arose, or US$100.
Nothing in these terms limits responsibility that the law doesn't allow to be limited, such as responsibility for fraud.
17. Your responsibility to us
To the extent the law allows, if someone brings a claim against us because of your work, your property, what you posted, your team, or your breaking these terms or the law, you will cover our reasonable losses and costs, including reasonable legal fees. We will tell you about the claim promptly and let you help defend it. This doesn't apply to the extent the claim was caused by our own breach of these terms or our own wrongdoing.
18. Disputes between users
If you have a problem with another user, try to sort it out with them first. We may look into reports that someone has broken these terms, but we are not required to settle disputes between users.
19. Disputes with us
Talk to us first. Email hello@wusta.app with what is wrong and what you want. We will both try to resolve it informally for 30 days before either of us starts a formal claim.
These terms, and any dispute about them or the service, are governed by the laws of the State of Wyoming, without regard to its rules on conflicts of law.
Claims will be heard in the state or federal courts located in Wyoming, and you and we agree to those courts' jurisdiction. Either of us may instead bring a claim in small claims court if it qualifies.
20. Changes to these terms
We may update these terms as the service changes. When we do, we will change the "Last updated" date. If a change is significant, we will tell you in the app or by email before it takes effect and, where needed, ask you to agree again. If you don't agree to a change, you can close your account.
21. Apple
If you got the app from Apple, through the App Store or TestFlight, this section also applies.
These terms are between you and us, not Apple. We, not Apple, are responsible for the app and its content.
Your right to use the app is a non-transferable right to use it on Apple-branded products that you own or control, as allowed by the Usage Rules in the Apple Media Services Terms and Conditions. The app may also be used by other accounts linked to you through Family Sharing or volume purchasing.
Apple has no duty to provide maintenance or support for the app.
If the app fails to meet any warranty that applies, you may tell Apple, and Apple will refund the purchase price of the app to you, if you paid one. The app is free to download. To the extent the law allows, Apple has no other warranty obligation for the app.
We, not Apple, are responsible for handling any claims about the app. That includes product liability claims, claims that the app fails to meet a legal or regulatory requirement, and consumer protection or privacy claims.
If someone claims the app infringes their intellectual property, we, not Apple, are responsible for dealing with it.
You confirm that you are not in a country subject to a US government embargo or designated as a "terrorist supporting" country, and that you are not on any US government list of prohibited or restricted parties.
You must follow any third-party terms that apply when you use the app, such as your mobile carrier's.
Apple and its subsidiaries are third-party beneficiaries of these terms and may enforce them against you.

22. General
These terms, together with the Privacy Policy and any extra terms we show you for a specific feature, are the whole agreement between you and us about the service.
If part of these terms can't be enforced, the rest still applies.
If we don't enforce a term straight away, we haven't given up the right to enforce it later.
You can't transfer these terms to anyone else without our agreement. We may transfer them if our business changes hands.
We are not responsible for delays or failures caused by things outside our reasonable control.
We may send you notices in the app or by email.
